Terms of Service

These Terms of Service ("Terms") govern your access to and use of the PrecogX website, platform, APIs, SDK, and related services (collectively, the "Services") operated by PrecogX ("PrecogX," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms.

1. Eligibility and Authority​

You must be at least 18 years old and legally capable of entering into binding agreements to use the Services. If you are using the Services on behalf of an organization, you represent and warrant that you have the legal authority to bind that organization to these Terms, and references to "you" throughout these Terms include that organization.

2. Account Registration and Security​

To access certain features of the Services, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Keep your login credentials confidential and not share them with third parties
  • Notify PrecogX immediately at hello@precogx.ai if you suspect any unauthorized access to your account or any security incident
  • Accept responsibility for all activities that occur under your account

PrecogX reserves the right to suspend or terminate accounts that violate these Terms or that show signs of unauthorized use.

3. Permitted Use of Services​

The Services are provided for lawful business purposes only. You agree that you will not:

  • Reverse engineer, decompile, or attempt to extract the source code of the PrecogX platform or its AI models
  • Bypass, disable, or circumvent any security controls, authentication systems, or access restrictions
  • Upload, transmit, or distribute malware, ransomware, or any malicious code through the Services
  • Attempt to gain unauthorized access to any systems, networks, or data associated with PrecogX or its customers
  • Use the Services to monitor, intercept, or interfere with AI agents you do not have authorization to manage
  • Resell, sublicense, or otherwise commercialize the Services without PrecogX's prior written consent
  • Use the Services in any manner that violates applicable laws or regulations

4. Subscriptions, Fees, and Payments​

PrecogX offers subscription plans with pricing disclosed at the time of purchase on our pricing page. The following terms apply to paid subscriptions:

  • Billing Cycles: Subscriptions are billed monthly or annually, depending on your selected plan.
  • Non-Refundable: Fees are non-refundable except as expressly required by applicable law or as explicitly stated in writing by PrecogX.
  • Plan Upgrades/Downgrades: You may upgrade or downgrade your plan at any time. Upgrades take effect immediately; downgrades take effect at the start of the next billing cycle.
  • Failed Payments: If a payment fails, PrecogX may suspend access to paid features until the balance is resolved.
  • Price Changes: PrecogX reserves the right to modify subscription pricing. Existing customers will receive at least 30 days' notice before any price change takes effect.

5. Customer Data and Ownership​

You retain all rights, title, and interest in and to data you submit to the Services, including AI agent interaction logs, telemetry data, and configuration settings ("Customer Data"). By using the Services, you grant PrecogX a limited, non-exclusive, non-transferable license to process your Customer Data solely for the purpose of:

  • Providing the Services to you
  • Detecting threats, anomalies, and security events within your AI agent environment
  • Improving the reliability and performance of the Services (in aggregate and anonymized form only)

PrecogX will not sell your Customer Data to third parties or use it to train AI models in a manner that would expose your data to other customers. See our Privacy Policy for full details.

6. Intellectual Property Rights​

All rights, title, and interest in and to the Services — including software, AI models, threat detection algorithms, GLSL shaders, dashboard interfaces, API schemas, and documentation — are and remain the exclusive property of PrecogX or its licensors. Nothing in these Terms transfers any intellectual property rights to you, except the limited license to use the Services as described herein.

You may not copy, modify, distribute, or create derivative works based on the Services without PrecogX's prior written consent.

7. Confidentiality​

Each party ("Disclosing Party") may share confidential information with the other party ("Receiving Party") in connection with the Services. The Receiving Party agrees to:

  • Keep confidential information strictly confidential
  • Use confidential information only for purposes directly related to the use of the Services
  • Not disclose confidential information to third parties without the Disclosing Party's prior written consent, except as required by law

This confidentiality obligation does not apply to information that is publicly available, independently developed, or rightfully obtained from a third party without restriction.

8. Third-Party Services and Integrations​

The Services may integrate with or link to third-party services, including but not limited to AI frameworks (LangChain, AutoGen, CrewAI), workflow platforms (n8n, Flowise, Dify), and cloud infrastructure providers. PrecogX does not control these third-party services and is not responsible for their availability, accuracy, or security. Your use of third-party services is governed by their respective terms and policies.

9. Disclaimers​

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. PrecogX makes no warranty that:

  • The Services will be uninterrupted, error-free, or free from security vulnerabilities
  • The Services will identify every threat, prompt injection, or malicious activity targeting your AI agents
  • Results obtained through the Services will be accurate, complete, or fit for any particular purpose

PrecogX's threat detection capabilities are probabilistic in nature. Security incidents may occur despite use of the Services.

10. Limitation of Liability​

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PRECOGX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, LOSS OF REVENUE, BUSINESS INTERRUPTION, OR REPUTATIONAL HARM, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES.

IN NO EVENT SHALL PRECOGX'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO PRECOGX IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100 USD).

11. Indemnification​

You agree to defend, indemnify, and hold harmless PrecogX and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to:

  • Your use of the Services in violation of these Terms
  • Your violation of any applicable law or regulation
  • Your infringement of any third-party rights
  • Any unauthorized use of the Services through your account

12. Termination and Suspension​

By You: You may cancel your account at any time through the dashboard settings or by contacting hello@precogx.ai. Cancellation takes effect at the end of your current billing period.

By PrecogX: PrecogX may immediately suspend or terminate your access to the Services without notice if you:

  • Violate these Terms
  • Engage in fraudulent, abusive, or illegal activity
  • Pose a security risk to PrecogX or other customers

Upon termination, your right to use the Services immediately ceases. Sections on Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law survive termination.

13. Governing Law and Dispute Resolution​

These Terms are governed by and construed in accordance with the laws of the applicable jurisdiction, without regard to conflict-of-law principles. Any disputes arising under these Terms shall be resolved through binding arbitration or in the courts of the jurisdiction where PrecogX is registered, as applicable.

14. Modifications to Terms​

PrecogX reserves the right to modify these Terms at any time. If we make material changes, we will notify you by email or through the Services at least 14 days before the changes take effect. Your continued use of the Services after the effective date of the updated Terms constitutes your acceptance of the changes.
